By creating an account, accessing, or using Nexus Lite (the "Service"), you confirm that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the Service.
بإنشاء حساب أو الوصول إلى نكسس لايت (الخدمة) أو استخدامها، فإنك تؤكد أنك قد قرأت وفهمت وتوافق على الالتزام قانونًا بشروط الخدمة هذه. إذا كنت لا توافق، فيجب عليك عدم الوصول إلى الخدمة أو استخدامها.
If you are using Nexus Lite on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "User" or "you" refers to that entity.

Nexus Lite is a local-first financial compliance tool designed for UAE businesses. It stores all financial data exclusively on the user's device (browser IndexedDB) and in the user's connected personal cloud storage account (Google Drive or AWS S3). Nexus does not maintain server-side databases of financial records.
نكسس لايت هي أداة امتثال مالي محلية التخزين مصممة للشركات في دولة الإمارات العربية المتحدة. تخزن جميع البيانات المالية حصريًا على جهاز المستخدم وفي حساب التخزين السحابي الشخصي المتصل به. لا تحتفظ نكسس بقواعد بيانات خادمة للسجلات المالية.
The Service is currently provided free of charge. No payment information is required. Nexus reserves the right to introduce paid tiers in the future with 30 days' notice to registered users.

Paid Pro tiers for ASP e-invoicing compliance will be introduced in 2027. Users will receive full pricing details and a minimum of 30 days' notice before any billing commences.

Nexus Lite is a compliance preparation tool. It is not a registered tax agent and does not automatically file returns with the Federal Tax Authority (FTA).

The Service is designed for use by UAE-registered businesses, sole proprietors, and authorised representatives of legal entities. By using the Service, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into this Agreement on behalf of yourself or the entity you represent; (c) your use of the Service is not prohibited by any applicable UAE or international law; (d) you will use the Service solely for lawful business purposes.

Nexus Lite provides an AI-powered Optical Character Recognition (OCR) feature as an assistive tool for extracting text from receipt and invoice images. OCR processing is performed by Meta's Llama 4 Scout 17B 16E vision-language model via Groq's API, routed through a LiteLLM gateway hosted on Hetzner servers in the European Union (Frankfurt).

Groq has confirmed that API inputs are not used to train their models. Zero Data Retention (ZDR) is enabled for all inference requests. Images are permanently deleted from all processing infrastructure within seconds of extraction completion.

Personal API Keys: When a User configures a personal API key for OCR processing under Advanced Settings, image data is sent directly from the User's browser to their chosen provider (e.g., Groq, OpenAI, Google). Nexus has no visibility into these requests. The User acknowledges that API keys and request contents are exposed to browser-level inspection tools, extensions, and network monitoring, and that use of a personal API key is at the User's own risk.

The Corporate Tax (CT) Module provides preliminary estimates only and does not constitute a legal tax declaration under UAE Federal Decree-Law No. 47 of 2022 on Corporate Tax.

Nexus Lite connects to the User's personal Google Drive or AWS S3 account solely for invoice archiving and backup purposes. The User is solely responsible for maintaining this connection. Nexus is not liable for backup failures caused by: (a) expired or revoked OAuth tokens; (b) deleted or renamed storage folders; (c) insufficient storage quota; (d) network interruptions; (e) changes to Google's or Amazon's service terms affecting third-party access.
تتصل نكسس لايت بحساب المستخدم الشخصي في جوجل درايف أو AWS S3 لغرض أرشفة الفواتير والنسخ الاحتياطي فقط. المستخدم مسؤول بالكامل عن الحفاظ على هذا الاتصال. نكسس غير مسؤولة عن فشل النسخ الاحتياطي.
Maintaining active cloud storage access constitutes part of the User's compliance obligation under the FTA's 15-year invoice retention requirement (Cabinet Decision No. 52 of 2017).

The User acknowledges that invoice PDFs stored in Google Drive or AWS S3 may be processed and stored outside the UAE, including in the European Union or United States, depending on the cloud provider's data residency policies. The UAE PDPL permits transfers of personal data to jurisdictions with adequate data protection laws. The User is responsible for ensuring their chosen cloud provider's data storage location is compliant with their own regulatory obligations.
يقر المستخدم بأن ملفات PDF للفواتير المخزنة في جوجل درايف أو AWS S3 قد تتم معالجتها وتخزينها خارج الإمارات. يسمح قانون حماية البيانات الشخصية الإماراتي بنقل البيانات الشخصية إلى jurisdictions ذات قوانين حماية بيانات كافية.
Nexus Lite processes personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL). When a User uploads a document for OCR scanning, the image is transmitted to the Hetzner EU processing server solely for text extraction and is not stored, logged, or retained after processing. All structured invoice data is stored exclusively on the User's device and in their connected personal cloud storage account — not on Nexus servers. The User may request deletion of any account-related data held by Nexus (including email address) by contacting support@thenexuspro.net.
تعالج نكسس لايت البيانات الشخصية وفقًا للمرسوم بقانون اتحادي رقم ٤٥ لسنة ٢٠٢١ بشأن حماية البيانات الشخصية. عند رفع مستند للمسح الضوئي، تُرسل الصورة إلى خادم معالجة OCR في الاتحاد الأوروبي فقط لاستخراج النص ولا يتم تخزينها بعد المعالجة. جميع بيانات الفواتير المهيكلة تُخزن حصريًا على جهاز المستخدم — وليس على خوادم نكسس. يمكن طلب حذف البيانات عبر support@thenexuspro.net.

To the maximum extent permitted by applicable UAE law, Nexus Lite's total aggregate liability shall not exceed the total fees paid in the twelve calendar months preceding the claim. For free tier users, liability is limited to AED 100.

Nexus shall not be liable for indirect, incidental, special, consequential, or punitive damages, including FTA penalties, data loss, business interruption, or costs of substitute services.

Nothing in this Agreement excludes or limits Nexus's liability for: (a) death or personal injury caused by gross negligence or wilful misconduct; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded under mandatory UAE law.
لا يستبعد أي شيء في هذه الاتفاقية مسؤولية نكسس عن: (أ) الوفاة أو الإصابة الشخصية الناجمة عن الإهمال الجسيم؛ (ب) الاحتيال؛ (ج) أي مسؤولية لا يمكن استبعادها بموجب القانون الإماراتي.
Indemnification: The User agrees to indemnify Nexus from claims arising out of: (a) violation of these Terms; (b) use of the Service in connection with unlawful activity; (c) violation of any applicable law; (d) inaccuracy in data saved to their ledger.
التعويض: يوافق المستخدم على تعويض نكسس عن المطالبات الناشئة عن: (أ) انتهاك هذه الشروط؛ (ب) استخدام الخدمة في نشاط غير قانوني؛ (ج) انتهاك أي قانون؛ (د) عدم دقة البيانات المحفوظة.
This Agreement is governed exclusively by the laws of the United Arab Emirates and the Emirate of Dubai, excluding the Dubai International Financial Centre (DIFC) and Abu Dhabi Global Market (ADGM) legal frameworks.
تخضع هذه الاتفاقية حصريًا لقوانين دولة الإمارات العربية المتحدة وإمارة دبي، باستثناء أطر مركز دبي المالي العالمي وسوق أبوظبي العالمي.

Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the onshore civil courts of Dubai, United Arab Emirates. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
أي نزاع ينشأ عن هذه الاتفاقية يخضع للاختصاص القضائي الحصري لمحاكم دبي المدنية. لا تنطبق اتفاقية الأمم المتحدة بشأن عقود البيع الدولي للبضائع.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UAE LAW:

AML/CFT Disclaimer: Nexus Lite is not a Designated Non-Financial Business or Profession (DNFBP) or Financial Institution under UAE AML/CFT law. Nexus does not perform Customer Due Diligence, transaction monitoring, or suspicious transaction reporting. Nexus reserves the right to immediately suspend or terminate access for violation of this Section.
إخلاء مسؤولية مكافحة غسل الأموال: نكسس لايت ليست مؤسسة مالية بموجب قانون مكافحة غسل الأموال الإماراتي. لا تقوم نكسس بالعناية الواجبة بالعملاء أو مراقبة المعاملات. يحق لنكسس تعليق أو إنهاء الوصول فورًا لمخالفة هذا القسم.
Nexus shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond Nexus's reasonable control, including but not limited to: acts of God, war, terrorism, government action, regulatory directives, internet infrastructure failures, third-party cloud service outages (including Google, AWS, or Cloudflare), cyberattacks on third-party infrastructure, or any other event that Nexus could not reasonably have foreseen or prevented.
لا تتحمل نكسس المسؤولية عن أي تأخير أو فشل في أداء التزاماتها بموجب هذه الشروط إذا كان هذا التأخير أو الفشل ناتجًا عن ظروف خارجة عن السيطرة المعقولة لنكسس، بما في ذلك على سبيل المثال لا الحصر: الكوارث الطبيعية، الحرب، الإرهاب، الإجراءات الحكومية، انقطاع البنية التحتية للإنترنت، انقطاع خدمات الطرف الثالث السحابية.
